1. Acceptance of Terms
By accessing our website, purchasing our products, or using our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. You must be at least 18 years old to purchase products or services.
2. Products and Services
Digital Products
We provide Standard Operating Procedures (SOPs), templates, implementation guides, and related quality management documentation as digital downloads.
Consulting Services
We offer professional consulting services including QMS implementation, audit preparation, training, and regulatory compliance support governed by separate service agreements.
3. Intellectual Property Rights
Our Ownership
All SOPs, templates, documentation, implementation guides, and related materials are proprietary to Quantum Quality Systems LLC and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.
Your License
Upon purchase, you receive a non-exclusive, non-transferable, revocable license to:
- Use the purchased materials within your single legal entity only
- Make reasonable customizations for your internal use while maintaining our copyright ownership
- Print copies for your organization's internal purposes only
Single Legal Entity Definition
"Single legal entity" means one specific corporation, LLC, partnership, or other business entity. This license does NOT extend to:
- Parent companies, subsidiaries, or affiliated entities
- Multiple legal entities under common ownership
- Franchisees, licensees, or business partners
- Joint ventures or collaborative arrangements
Each separate legal entity requires its own license.
Customization Rights
You may customize materials for your internal use, including:
- Replacing logos and company information with your own
- Removing our copyright notices from customized internal versions
- Modifying content to fit your specific procedures and requirements
- Branding documents as your own company procedures
However:
- Our underlying IP ownership remains regardless of customization
- Customized versions cannot be distributed outside your organization
- You may not create derivative works for commercial purposes
- Reverse engineering is strictly prohibited
Strictly Prohibited Uses
You may NOT:
- Resell, redistribute, license, or share materials with any third party
- Use materials to create competing products or services
- Remove or alter copyright notices or proprietary markings
- Post materials on websites, forums, or file-sharing platforms
- Reverse engineer, decompile, or disassemble any materials
- Use materials as training materials for external parties
- Include materials in any commercial offering to third parties
4. Consulting and Professional Services
Independent Contractor Relationship
All consulting services are performed as an independent contractor. No employee, agent, partnership, or joint venture relationship is created.
Professional Disclaimers
IMPORTANT: Our consulting services provide professional guidance based on industry experience. However:
- NO GUARANTEE of regulatory approval, audit success, or compliance outcomes
- NO GUARANTEE that materials meet your specific regulatory requirements
- Client has sole responsibility for implementation decisions and regulatory compliance
- Regulatory requirements vary by jurisdiction, product type, and company circumstances
- Professional judgment required for all company-specific applications
Regulatory Changes
Regulatory requirements change frequently. Materials reflect standards at time of creation only. Clients are solely responsible for ensuring ongoing compliance with current regulations.
5. Warranties and Disclaimers

ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
NO WARRANTIES
WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE
- ACCURACY, COMPLETENESS, OR RELIABILITY of materials
- NON-INFRINGEMENT of third-party rights
- UNINTERRUPTED OR ERROR-FREE operation
- COMPLIANCE with specific regulatory requirements
Your Responsibility
You are solely responsible for determining whether our products and services meet your specific needs and regulatory requirements.
6. Limitation of Liability
MAXIMUM LIABILITY
OUR TOTAL LIABILITY FOR ALL CLAIMS arising from or related to our products, services, or website SHALL NOT EXCEED THE LESSER OF:
- $1,000, or
- The total amount you paid us in the 12 months preceding the claim
EXCLUDED DAMAGES
WE SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- REGULATORY FINES, PENALTIES, OR ENFORCEMENT ACTIONS
- BUSINESS INTERRUPTION OR OPERATIONAL DELAYS
- THIRD-PARTY CLAIMS OR DAMAGES
- DATA LOSS OR CORRUPTION
- COST OF SUBSTITUTE PRODUCTS OR SERVICES
STATUTE OF LIMITATIONS
ALL CLAIMS MUST BE BROUGHT WITHIN ONE (1) YEAR of the date the claim arose, regardless of applicable law.
7. User Responsibilities and Compliance
Accurate Information
You must provide accurate and complete information when purchasing products or engaging services.
Export Compliance
You agree to comply with all applicable export control laws and regulations. You may not use our products or services in violation of U.S. export controls.
License Compliance
You agree to:
- Use materials only within licensed scope
- Notify us immediately of any unauthorized use or distribution
- Permit reasonable audits to verify license compliance
- Cooperate with investigations of suspected violations
Account Security
You are fully responsible for maintaining confidentiality of account credentials and for all activities under your account.
8. Enforcement and Remedies
Audit Rights
We reserve the right to audit your use of licensed materials upon reasonable notice to ensure compliance with these terms.
Injunctive Relief
You acknowledge that violation of intellectual property provisions would cause irreparable harm for which monetary damages would be inadequate. We are entitled to immediate injunctive relief without posting bond.
Liquidated Damages
For IP violations, you agree to pay liquidated damages of $10,000 per violation plus our reasonable attorney fees, as actual damages would be difficult to determine.
Termination
We may immediately terminate your license and access rights for:
- Violation of these terms
- Non-payment of fees
- Fraudulent or illegal activity
- IP infringement or unauthorized distribution
Termination does not affect our right to pursue damages for violations.
9. Dispute Resolution
BINDING ARBITRATION
ALL DISPUTES arising from these terms or our relationship SHALL BE RESOLVED BY BINDING ARBITRATION under the Commercial Arbitration Rules of the American Arbitration Association.
Arbitration Details
- Location: Phoenix, Arizona
- Governing Law: Arizona law
- Single Arbitrator: Experienced in commercial disputes
- Award Final: Subject to very limited appeal rights
- Costs: Prevailing party entitled to attorney fees and costs
Class Action Waiver
YOU WAIVE ALL RIGHTS TO PARTICIPATE IN CLASS ACTIONS OR COLLECTIVE PROCEEDINGS.
Injunctive Relief Exception
Notwithstanding arbitration requirements, either party may seek immediate injunctive relief in court for IP violations.
10. Force Majeure
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or other unforeseeable events.
11. Payment and Fees
Digital Products
Payment due at purchase. No refunds except as specified in our Return Policy.
Consulting Services
Payment terms specified in individual service agreements. Past due amounts accrue interest at 1.5% per month.
Taxes
You are responsible for all applicable taxes, duties, and fees.
12. Privacy and Data
Your privacy is governed by our Privacy Policy, incorporated by reference. We may use purchase and usage data for business analytics and marketing purposes.
13. Website Terms
Permitted Use
Website is for business purposes related to quality management and regulatory compliance.
Prohibited Activities
You may not:
- Attempt unauthorized access to our systems
- Use automated tools to scrape content
- Interfere with website functionality
- Upload malicious code or engage in harmful activities
14. Modifications
We may modify these terms at any time by posting updated terms with a new effective date. Continued use constitutes acceptance of modified terms.
15. Severability and Survival
If any provision is unenforceable, remaining provisions remain in effect. Sections 3, 5, 6, 7, 8, and 9 survive termination.
16. Entire Agreement
These Terms, our Privacy Policy, and any applicable service agreements constitute the entire agreement and supersede all prior agreements or understandings.
